Requirements: Job Duties: ? Draft, review, and negotiate directly with outside counsel and client procurement personnel on a wide spectrum of contracts (including engagement contracts, master and subcontractor agreements, non-disclosure agreements, software/data and misc. license agreements, academic advisor agreements, and vendor agreements). ? Assist the General Counsel and Associate General Counsel to identify and address risk management matters affecting the firm?s US and international practices. ? Collaborate with consultants on contract- and corporate-related portions of proposals to prospective clients. ? Support the Conflicts Paralegal by identifying potential conflicts of interest by vetting information regarding proposed engagements against both previous project work and publicly available information, and updating conflicts database with relevant information from engagement contracts. ? Working closely with the firm?s billing personnel to open new client projects and track new project information in databases and Excel spreadsheets. ? Oversee corporate filings with federal, state and local government entities; assisting with international corporate and contractual requirements. ? Collaborate with consulting, accounting, and administrative staff to ensure contract compliance and maintaining electronic contract files. Qualifications: ? BA/BS degree required. ? One to three years of experience in a business environment, preferably in a legal or detail oriented services firm. ? Experience in Microsoft Office Suite programs. ? Able to work independently, as well as part of a team, in a fast paced environment with minimal supervision. ? Able to build positive relationships with senior level consultants and across all corporate services groups. ? High degree of ownership and commitment. ? Strong attention to detail. ?
